The Legalese.

Assumptions

Estimate does not include any outside costs, including but not limited to: in-house printing or professional printing, copywriting, stock images and licensing fees, model talent, shipping services, or any materials used. Any requested outside costs will be added to the total bill. Estimate also does not include the final printing of the design or any taxes or shipping costs associated with the printing. Any additional revisions or design work done outside of this scope will be extra, and can be re-estimated at the time of request. I will inform you before adding any cost/time in addition to this invoice.

Contract And Payment Terms

This design development agreement is between Lien Design (“LD”), and Client. Under this Letter of Agreement, LD will provide design services to Client.

Ownership and Copyrights

All final projects, belong to Client upon final payment, including editable electronic files. Lien Design reserves the right to use any final project output for demonstration and portfolio purposes.

Confidential Information

Information exchanged in the course of this project will be treated as confidential by Lien Design, and not divulged to any third party, without prior written agreement.

Indemnification

Client agrees that it shall defend, indemnify, save and hold Lien Design harmless from any and all demands, liabilities, typos, design mistakes, losses, costs, and claims, including reasonable attorney’s fees associated with Lien Design’s development of the Client’s graphic design projects. This includes Liabilities asserted against the Lien Design, it’s subcontractors, it’s agents, its clients, servants, officers, and employees, that may arise or result from any service provided or performed or agreed to be performed or any product sold by the Client, its agents, employee or assigns.

The client also agrees to defend, indemnify and hold harmless Lien Design against Liabilities arising out of any injury to person or property caused by any products or services sold or otherwise distributed by the Client. This includes infringing on the proprietary rights of a third party, copyright infringement, and delivering any defective product or misinformation which is detrimental to another person, organization, or business.

Changes

Changes are broadly defined as work activities or work products not originally planned for as defined by this Statement of Work, including:

• Provision or development of deliverables not included in this SOW

• Any rework of completed activities or accepted deliverables

If, for some reason out of Lien Design’s control, the project is canceled after the first round of designs has been created, the Client agrees to pay half of the total of the invoice.

Any additional work and billing will be agreed upon before invoicing.
If there are additional changes that need to be made beyond this statement of work, Lien Design will provide estimated costs, and/or complete the additional work at $145/hr.

Payment

• 33% due upon start of project.

• 33% due 15 days into the project.

• 34% due 45 days into the project or upon completion, whichever comes first,
and before final print-ready files are released.
